The Site is an informational and business-development resource for Harmonic's institutional clients and partners — community banks, mortgage originators and servicers, insurance carriers, reinsurers, managing general agents, and other institutional counterparties. The Site is not a platform through which insurance is sold, bound, or serviced, and it is not directed to individual retail insurance consumers.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. No Insurance Advice, Quote, or Offer
Nothing on the Site constitutes insurance advice, a solicitation, a binding quote, or an offer or acceptance of any insurance product. Descriptions of programs, coverages, pricing, or structures on the Site (including any AgencyAlpha, Income Protection Plan, or similar program materials) are summaries for general informational purposes only and do not amend, supersede, or replace the actual policy, binder, program agreement, or other governing document applicable to any specific placement. Coverage is bound, and program terms are established, only through separate, signed agreements between Harmonic (or the applicable carrier or program sponsor) and the counterparty — not through use of, or content appearing on, the Site.
Nothing on the Site should be construed as legal, tax, accounting, or investment advice. You should consult your own advisors before making decisions based on Site content.
2. Eligibility and Authorized Use
The Site is intended for use by business representatives of Harmonic's institutional clients, prospective clients, and partners, and by other business and professional visitors. You must be at least 18 years old to use the Site. The Site is not directed to, and should not be used by, individual consumers seeking to purchase insurance directly.
3. Intellectual Property
The Site and its content — including text, graphics, logos, program names (e.g., AgencyAlpha), design elements, and underlying software — are owned by Harmonic or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, Harmonic grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own internal business-evaluation purposes.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Site content for any commercial purpose without Harmonic's prior written consent, except that you may print or download materials solely for your own internal, non-commercial reference in evaluating a potential relationship with Harmonic.
4. Acceptable Use
You agree not to:
- use the Site in violation of applicable law, including securities, insurance, or data-protection law;
- misrepresent your identity or affiliation, or your authority to act on behalf of an organization;
- attempt to gain unauthorized access to the Site, related systems, or any non-public areas;
- introduce viruses, malware, or other harmful code, or engage in scraping, crawling, or automated data extraction not expressly authorized;
- interfere with or disrupt the integrity or performance of the Site; or
- use any Site content to build a competing product or service.

The Site may reference or link to third parties, including carriers, reinsurers, program administrators, and other partners. Harmonic does not control and is not responsible for the content, accuracy, or practices of any third-party site or the products or services of any third party. Inclusion of a reference or link does not imply endorsement.

7. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HARMONIC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PROGRAM, PRICING, OR MARKET DATA DESCRIBED ON THE SITE IS CURRENT, COMPLETE, OR ACCURATE AS OF THE TIME YOU VIEW IT.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HARMONIC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HARMONIC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
This Section does not limit liability that cannot be limited under applicable law, and does not apply to obligations under a separately executed program, agency, or services agreement between Harmonic and a client or partner, which is governed by its own terms.
9. Indemnification
You agree to indemnify, defend, and hold harmless Harmonic and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.
10. Confidentiality of Business Communications
Materials Harmonic shares with you through the Site or in connection with your use of it — including program terms, pricing, and market analyses — may be confidential and proprietary. Unless otherwise agreed in writing (including under a separate non-disclosure agreement), you agree not to disclose such materials to third parties or use them other than to evaluate a potential business relationship with Harmonic.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-laws principles.
Absent a separate arbitration agreement, any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you consent to the personal jurisdiction of those courts.
12. Termination of Access
Harmonic may suspend or terminate your access to the Site at any time, with or without notice, including for suspected violation of these Terms. Sections of these Terms that by their nature should survive termination (including Sections 3, 7, 8, 9, 10, and 11) will survive.
13. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
14. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and any separately executed agreement governing a specific client or partner relationship, constitute the entire agreement between you and Harmonic regarding the Site.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Harmonic's failure to enforce any provision is not a waiver of its right to do so later.
- Assignment. You may not assign these Terms without Harmonic's prior written consent. Harmonic may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Relationship of Parties. Nothing in these Terms creates a partnership, joint venture, agency, or fiduciary relationship between you and Harmonic solely by virtue of your use of the Site.
